Terms of Service

Last updated: 2026-10-23 · Effective: 2026-10-23

These Terms govern your access to SUB&SUB at www.subnsub.com and api.subnsub.com. By creating an account, signing in, or sending a request through the Service, you agree to them.

1. Acceptance

By creating an account, signing in, purchasing credits or a subscription, or sending any request to api.subnsub.com, you agree to these Terms of Service (the "Terms") and acknowledge our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization, and "you" refers to that organization.

2. About the Service

SUB&SUB ("we", "us", "the Service") operates a multi-provider AI API relay at https://api.subnsub.com/v1 (exposing OpenAI-compatible and Anthropic Messages-compatible endpoints) together with account, authentication, and billing services at www.subnsub.com. When you send an API request, we authenticate your key and forward the request to the selected upstream AI provider (currently OpenAI, Anthropic, or Google Gemini model backends). We act as a relay and do not train models or generate model outputs ourselves.

Your SUB&SUB account also provides single sign-on and optional Stripe subscription billing for our developer-tools site at tools.subnsub.com, which has its own product-specific terms when you register or use tools there.

SUB&SUB is independent and is not affiliated with, endorsed by, or sponsored by OpenAI, Anthropic, Google, or any other third-party provider whose models are accessible through the Service. Third-party names and trademarks belong to their respective owners.

Model availability Available models depend on upstream capacity and provider changes. We may add, remove, rename, or pause any model without prior notice, and new registrations after the published capacity cutoff may not include API relay access. Check the documentation for the current model list and endpoint support.

3. Eligibility

4. Accounts & API keys

Using the Console, API relay, or paid account features requires an account. You may sign in with email and password or with Google, and you may enable two-step verification using a TOTP authenticator app or WebAuthn passkeys. Unverified email accounts may have restricted access until verification is complete.

You must:

Plaintext API keys are shown once at creation and stored on our servers only as SHA-256 hashes. Lost keys cannot be recovered; create a new key and revoke the old one.

5. Acceptable use

You must not use the Service, or allow anyone else through your account or API keys to use the Service, to:

We may block, throttle, or terminate requests or accounts that we reasonably believe violate this section, and we may report severe abuse or unlawful conduct to upstream providers, payment processors, or law enforcement.

6. Upstream provider policies

Every API generation request is fulfilled by an upstream AI provider and must also comply with that provider's rules:

Upstream safety filters or policy enforcement may reject a prompt, stop a stream early, or restrict model availability, and repeated upstream violations may result in suspension of your SUB&SUB account.

7. Fees & billing

API usage is billed pay-as-you-go against prepaid credits purchased through Stripe Checkout. Each metered request deducts tokens at the rate for the requested model's tier:

Luna tier (gpt-5.6-luna)$0.30 in / $2.40 out per 1,000,000 tokens
Standard tier (gpt-5.4 family, gpt-5.6-terra, claude-sonnet-4-5-20250929, claude-sonnet-4-6, gemini-3.1-pro, gemini-3-flash)$0.75 in / $6.00 out per 1,000,000 tokens
Premium tier (gpt-5.5, gpt-5.6-sol)$1.10 in / $8.80 out per 1,000,000 tokens

Anthropic prompt-cache writes (cache_creation_input_tokens)1.25× the tier's input rate per 1,000,000 tokens
Anthropic prompt-cache reads (cache_read_input_tokens)0.10× the tier's input rate per 1,000,000 tokens
Top-up presets$10 / $20 / $50 / $100 via Stripe Checkout
Accounting unitMicrodollars (1 micro = $0.000001)

Current model-to-tier mappings are listed at docs#pricing. Usage is settled in microdollars as each request completes (or after the final [DONE] event for streaming responses).

Prepaid API credits do not expire. When your balance reaches zero (or drops below zero on a final in-flight request), metered API endpoints return 402 insufficient_balance until you top up.

If you purchase an optional recurring Tools Plus subscription through /subscribe, Stripe bills the selected monthly or annual plan automatically at each renewal until you cancel through the billing portal at /account.

We will give at least 14 days' notice before increasing API tier prices by updating the published pricing and, where practical, emailing affected account holders. Using the Service after the effective date means you accept the updated pricing.

8. Refunds

Prepaid API credits are delivered immediately upon payment and, to the fullest extent permitted by law, are non-refundable once purchased. Credits already spent on API requests are non-refundable in all circumstances.

Nothing in these Terms limits mandatory consumer cancellation or refund rights under applicable law (such as non-waivable statutory rights in the EU, UK, or your local jurisdiction). To exercise a statutory right or report a billing error, email [email protected] within 30 days of the charge.

If an account is used for payment fraud or a material breach of these Terms, we may withhold refunds, reverse unauthorized credits, and report the activity to Stripe and relevant authorities.

9. Taxes

Listed prices exclude taxes. You are responsible for applicable sales, value-added, goods-and-services, or similar taxes imposed by your jurisdiction (other than taxes on our net income), and Stripe or SUB&SUB may collect those taxes at checkout where required by law.

10. Availability

The Service is offered on a best-effort basis without a service-level agreement (SLA). Upstream provider limits, account-pool capacity, network disruptions, maintenance, or external outages may delay or interrupt requests at any time.

11. Changes to the Service

We may add, modify, or retire features, models, endpoints, parameters, or rate limits at any time. If we discontinue the API Service entirely, we will give at least 30 days' advance notice on the site (and by email where practical) and refund unused prepaid API credits to your original payment method or a reasonable equivalent.

12. Suspension & termination

You may delete your account at any time from the Console (Settings → Delete account, provided your balance is not negative) or by emailing [email protected]. We may suspend or terminate your access, revoke API keys, or close your account if (a) you materially breach these Terms; (b) law or an upstream provider requires us to do so; (c) your activity creates a security, fraud, abuse, or legal risk; or (d) your account has been inactive for more than 24 months. Where reasonable and lawful under (a), we will give notice and a chance to fix the issue; under (b) and (c) we may act immediately.

Provisions that by nature apply after termination—including unpaid obligations, intellectual property, disclaimers, liability limits, indemnification, and dispute terms—remain in effect after your account closes.

13. Intellectual property

Your content

As between you and SUB&SUB, you keep whatever rights you hold under applicable law in the prompts, messages, and other inputs you send and in the model outputs returned to you. You are responsible for ensuring you have the rights needed to submit your inputs and use the outputs.

You grant SUB&SUB a limited, non-exclusive, worldwide, royalty-free license to receive, process, and transmit your request content only as needed to route requests to upstream providers (and optional web search when you enable :online), meter usage, prevent abuse, and comply with law. We do not use your prompts or model outputs to train AI models, and we do not store prompt or response bodies on SUB&SUB servers.

The Service

SUB&SUB owns the Service, site design, documentation, and SUB&SUB branding. These Terms do not transfer ownership of our intellectual property or trademarks to you. Any open-source components we publish remain governed by their accompanying open-source licenses.

Our Privacy Policy explains what personal data we collect, how we use and share it, how cookies and browser storage work, and how you can exercise your privacy rights.

15. Disclaimers

The Service and all model outputs are provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, SUB&SUB disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

AI models can hallucinate, omit context, or produce inaccurate, biased, or harmful text. Review outputs before relying on them, and do not rely on model outputs without qualified human review for medical, legal, financial, safety-critical, or other high-consequence decisions.

16. Limitation of liability

To the fullest extent permitted by law, SUB&SUB and its operators, contributors, and service providers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service or these Terms, even if advised that such damages were possible.

To the fullest extent permitted by law, our total cumulative liability for all claims related to the Service or these Terms will not exceed the greater of (a) the total amount you paid to SUB&SUB in the three (3) months before the event giving rise to the claim, or (b) US $50.

Where applicable law does not allow certain warranty disclaimers or liability exclusions, those disclaimers and limits apply only to the extent permitted by that law.

17. Indemnification

If you use the Service on behalf of a business or organization, or in breach of these Terms, you agree to defend and indemnify SUB&SUB and its operators against third-party claims, losses, liabilities, and reasonable legal expenses arising from (a) content submitted through your account, (b) your breach of these Terms or applicable law, or (c) your infringement of third-party rights. We will notify you promptly of any covered claim and cooperate reasonably at your expense; you may not agree to any settlement that imposes non-monetary obligations or admissions on SUB&SUB without our written consent.

18. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. Except where mandatory law provides otherwise, you and SUB&SUB agree to the exclusive jurisdiction and venue of the state and federal courts in Delaware for disputes arising from these Terms or the Service, while allowing either party to seek injunctive relief in any court of competent jurisdiction.

Nothing in this section removes mandatory consumer protections under the laws of your country of residence. If you are a consumer in the EU or UK, you may also bring claims in the courts of the country where you live. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

19. Changes to these Terms

We may update these Terms from time to time by posting the revised version at www.subnsub.com/terms with an updated "Last updated" date. For material changes, we will provide reasonable advance notice on the Service, by email, or both. Continuing to use the Service after the effective date means you accept the revised Terms; if you disagree, stop using the Service before the effective date and close your account, and we will refund any unused prepaid API balance.

20. Contact

Send questions, legal notices, or support requests regarding these Terms to [email protected]. We generally respond within 30 days.
